This Media Agreement (“Agreement”) is entered into on 2024 between [Pachatata Kenya], hereinafter referred to as “Media Company,” and and our interviewees, hereinafter referred to as the “Interviewee.”
1. Purpose: The purpose of this Agreement is to outline the terms and conditions under which the Interviewee grants publishing rights to the Media Company for the information and content provided during the interview.
2. Content Ownership: The Interviewee acknowledges that all information, content, materials, and intellectual property provided during the interview, including but not limited to text, images, audio, and video recordings, shall remain the property of the Interviewee.
3. Grant of Publishing Rights: The Interviewee hereby grants the Media Company the non-exclusive, worldwide, royalty-free right to publish, reproduce, distribute, display, and transmit the information and content provided during the interview, in whole or in part, through any medium or platform now known or hereafter developed, for the purposes of creating and distributing content on PachaMagazine or any other publications affiliated with the Media Company.
4. Usage Rights: The Media Company may edit, modify, or adapt the content provided by the Interviewee as necessary for publication, provided that such modifications do not materially alter the original meaning or intent of the Interviewee’s statements.
5. Attribution: The Media Company agrees to credit the Interviewee appropriately whenever the Interviewee’s information or content is published, displayed, or transmitted in any form. Such attribution shall be made in accordance with industry standards and practices.
6. Term: This Agreement shall remain in effect indefinitely, unless terminated by either party upon written notice to the other party. Termination of this Agreement shall not affect any rights or obligations accrued prior to the date of termination.
7. Confidentiality: The Media Company agrees to treat all information provided by the Interviewee during the interview as confidential and shall not disclose or share such information with any third party without the Interviewee’s prior written consent, except as required by law.
8. Indemnification: The Interviewee agrees to indemnify and hold harmless the Media Company from any claims, damages, liabilities, or expenses arising out of or in connection with the publication or use of the information and content provided by the Interviewee.
9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Kenya.
